This Terms of Service agreement (the “Agreement”) governs your use of the website and mobile services provided by Clutch Auto Repairs LLC, an Indiana limited liability company ("Clutch Auto," "we," "us," or "our"). By accessing or using our website and services (the “Platform”), you, as a user, whether a customer seeking services (“Customer”) or a mechanic providing services (“Mechanic”), agree to be bound by these terms.

The Platform connects Customers and Mechanics for vehicle repair and maintenance services (the "Services").


1. Scope of Services and Role of Clutch Auto

Clutch Auto provides the Platform to facilitate the connection between Customers and independent, third-party Mechanics. CLUTCH AUTO IS NOT A PARTY TO ANY AGREEMENT FOR SERVICES. The Platform is a third-party venue. All Services are agreed upon and performed by Mechanics, not by Clutch Auto.

Clutch Auto does not endorse or supervise Mechanics and makes no representation or warranties regarding their skills, licensing, competence, or background. Customers acknowledge that they are solely responsible for selecting and engaging Mechanics and assume all risks associated with such engagement. As non-employee and independent status, Clutch Auto serves solely as a technology provider facilitating connections. Clutch Auto is not an employer, partner, joint venturer, or agent of any Mechanic or Customer.

Clutch Auto is not responsible for warranties, representations, or guarantees made by Mechanics and does not intervene in service disputes beyond its internal mediation process. Clutch Auto reserves the right to suspend or terminate access to the Platform for any Customer or Mechanic found to be in violation of its terms or policies.

2. User Accounts

To use the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account, whether or not you have authorized such activities. Clutch Auto reserves the right to suspend or terminate your account at our sole discretion, without notice or liability, for any reason, including if you breach these Terms of Service.

3. Mechanic Responsibilities

Mechanics shall perform Services in a professional and workmanlike manner, consistent with industry standards. Mechanics shall comply with all service quality standards and requirements outlined in their Mechanics Contractor Agreement, including maintaining valid licenses, permits, and insurance coverages. Mechanics may only use new or quality OEM-equivalent parts unless otherwise agreed in writing with the Customer. Mechanics shall not exceed any service estimate without the prior written approval of the Customer.

4. Customer Responsibilities

Customers are required to provide accurate vehicle information when requesting Services. Customers authorize all work in writing before a Mechanic commences the Services. Customers must make full payment for all agreed-upon Services in accordance with the payment terms outlined on the Platform. Customers are responsible for maintaining adequate insurance coverage for their vehicle.

5. Payments and Disputes

Payments for Services shall be processed through the Platform. Clutch Auto may deduct transaction or processing fees as outlined in its terms of service. Customers must raise disputes within the Platform and within seven (7) days of service completion for Clutch Auto to process any claims or withholding of payments. Clutch Auto may withhold disputed payments until resolution.

6. Indemnification

Customer and Mechanic agree to indemnify, defend, and hold harmless Clutch Auto, its affiliates, officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, expenses, or costs (including reasonable attorneys' fees) arising out of or relating to their use of the Platform or Services.

7. Limitation of Liability

CLUTCH AUTO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE PLATFORM OR SERVICES. CLUTCH AUTO'S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES COLLECTED BY CLUTCH AUTO RELATED TO THE DISPUTED SERVICE TRANSACTION. CUSTOMER AND MECHANIC ACKNOWLEDGE THAT THEY ASSUME ALL RISKS ASSOCIATED WITH THEIR INTERACTIONS THROUGH THE PLATFORM.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Indiana. Any disputes between the Customer and Mechanic shall first be subject to direct communication between the parties to seek resolution. If a resolution cannot be reached within seven (7) days, the parties must submit the dispute to mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

9. Assumption of Risk

CUSTOMERS AND MECHANICS ACKNOWLEDGE THAT THEY ASSUME ALL RISKS ASSOCIATED WITH THEIR INTERACTIONS THROUGH THE PLATFORM AND RELEASE CLUTCH AUTO FROM ANY CLAIMS RELATED TO THOSE INTERACTIONS. CLUTCH AUTO IS NOT RESPONSIBLE FOR PERSONAL INJURY, PROPERTY DAMAGE, FRAUD, OR NEGLIGENCE BY ANY PARTY. MECHANICS ARE RESPONSIBLE FOR THE CARE, CUSTODY, AND CONTROL OF CUSTOMER VEHICLES DURING SERVICES.

10. Promotional Offers

From time to time, Clutch Auto may offer promotional discounts. Our standard "New Customer Discount" of 10% off is applied as an automatic partial refund, or rebate, to the customer's original payment method. This refund is processed after their first service has been successfully completed and paid for in full. Each promotional offer, including the New Customer Discount, is limited to one per person, household, or payment method. Clutch Auto reserves the right to investigate and suspend or terminate any account suspected of abusing our promotional offers, including but not limited to, creating multiple accounts to receive repeated discounts. Such actions constitute a violation of these terms.

11. E-Signature Consent

By clicking “Accept”, creating an account, or otherwise using the Platform, the Customer and Mechanic acknowledge that they have read, understood, and agreed to this Agreement.
